My initial read is that the winners on this deal are Motorola shareholders (who just lucked out), consumers (who will see a more competitive top-to-bottom product from Google and Motorola), Nokia (which suddenly looks much more likely to be acquired by Microsoft), Microsoft (in the short-term, as there's a chance Android partners that feel jilted might saber rattle and test Windows 7 Mobile devices), and Android itself, which will have a better showcase forum and patents shielding its manufacturing partners from onerous licensing fees.
Losers are HTC and Samsung (major Android partners who will now be Jan Brady's to Motorola's Marsha), carriers (which might not have a second iType, soup-to-nuts-style phone manufacturer to deal with), and Microsoft (now that Google has just acquired a treasure trove of IP Mr. Softy will lose its ability to muscle Android partners into paying licensing fees, hurting profits and giving said partners less of a reason to jump ship from Android to Windows 7).

Able Lawrence - Nokia should have hedged its bets between Windows 8 and Android. That would have been great for consumers. I would think Windows 8 would be a good alternative phone but consumers should have had the choice. Since Windows 8 phone would be available from multiple vendors, the only losers really are the Nokia shareholders and the consumers who liked the earlier solidity of Nokia phones. Android on a Nokia phone would have been a great option

+Steve Garon I disagree. I own a Defy and that is a very nice device unlike much of the competition. I did hear a lot of good things about the milestones as well. The only thing that could be improved would be to unlock the bootloader, but this problem has already been overcome by clever XDA-Hackers

This will create new real options for Google, for example offering UMA Wi-Fi calling Android app on an open handset like the Nexus S without being handcuffed by T-Mobile USA. T-Mobile will give you their UMA Wi-Fi calling Android app only if you buy the Samsung Galaxy S subsidized with a two year contract but the deny their customers of Wi-Fi calling on essentially the same hardware, the Nexus S phone. Go figure!
